The services of the Firm cover conducting due-diligence; advising the structure for various forms of domestic and cross-border collaboration and joint-ventures; negotiating, drafting; vetting and finalizing of the collaboration and joint-venture / shareholding agreements or investment agreements with securing clients' rights in critical matters of transfer restrictions, exit options, dead-lock resolution, further subscription of capital, post termination rights, management and voting rights; etc. both prior to or after the incorporation of the joint venture company.
